1. Introduction

Welcome to Voxifyer.com ("Voxifyer", "we", "our" or "us").

These Terms of Service ("Terms") is applicable between Voxifyer and you ("you" or "your") and shall govern your access to and use of the Voxifyer platform, including the Voxifyer website https://www.voxifyer.com, and any related services, features, tools, content, application programming interfaces ("APIs") and materials made available by Voxifyer (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all visitors, users and others who access or use the Service, including individuals browsing the website, talents and clients creating accounts and parties accessing demo tools or APIs, unless otherwise governed by a separate written agreement with Voxifyer, e.g. Digital Voice License Terms, Production Deliverables License Terms or Production Deliverables Purchase Terms. The Terms should be read together with Voxifyer's Privacy Policy, AI Usage Policy and any other applicable policies or guidelines referenced herein.

In the event of any conflict or inconsistency between these Terms and any other policy or guidelines governing the Service, the provision that specifically regulates the relevant subject matter shall prevail over any more general provision, solely to the extent necessary to resolve the inconsistency. If you have entered into a separate written agreement with Voxifyer, including, without limitation, Digital Voice License Terms, Production Deliverables License Terms, Production Deliverables Purchase Terms or similar commercial arrangements, the terms of that agreement shall prevail over these Terms to the extent of any conflict or inconsistency.

Voxifyer reserves the right to modify or update these Terms from time to time in accordance with Section 15 below.

2. Purpose and scope of the Service

The Service enables:

(i) professional voice artists and other talents (collectively, "Talents") to present themselves and their artificial intelligence-generated digital voices ("Digital Voices"); and (ii) clients ("Clients") to discover, evaluate and acquire rights to use Digital Voices for voice-related projects.

Talents may create profiles and upload voice recordings and related materials through the Service. Voxifyer may use these recordings to create Digital Voices, which may be made available within the Service for demonstration and evaluation purposes, and further sub-licensed or assigned to Clients, subject to applicable agreement terms.

Clients may access profile pages, voice samples and related materials for informational and evaluation purposes. Clients may also register accounts, submit inquiries, place orders and acquire rights to use Digital Voices for voice-related projects through the Service.

Unless otherwise expressly authorized in a written agreement with Voxifyer, all Digital Voices, voice samples, generated outputs, recordings, images, text, videos, graphics, metadata, trademarks, logos and other content made available through the Service (collectively, "Materials") are provided solely for evaluation and consideration purposes. The Materials may not be commercially exploited or otherwise used for any purposes other than such evaluation and consideration.

Any project initiated through the Service becomes binding only upon Voxifyer's written confirmation and shall thereafter be governed by a separate written agreement. Commercial use of any Digital Voices, generated output, recordings or other Materials delivered as part of a project is permitted solely as expressly set out in the applicable written agreement.

The Service may include demo tools, previews, APIs or other features intended to demonstrate or test Voxifyer's technical capabilities. These features are provided solely for evaluation purposes and may be subject to additional restrictions or separate terms.

3. Eligibility, account registration and user obligations

To access certain features of the Service, including creating Talents' profiles, placing orders or accessing demo tools or APIs, you may be required to create an account.

By creating an account, you represent and warrant that you are at least 18 years of age or otherwise have the legal capacity to enter into binding agreements under applicable law.

If you create an account or access and use our Service on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms and all references to "you" throughout these Terms (as applicable) will include that legal entity. If you are an entity using the Service, you are responsible for your employees' and representatives' use of the Service, including ensuring they comply with these Terms.

Voxifyer reserves the right to refuse account registration, limit access or disable accounts where eligibility requirements are not met.

You are responsible for ensuring that all information provided in connection with your account remains true, accurate, complete and up to date at all times. Voxifyer may rely on the information you provide when administering the Service, communicating with you or processing orders or payments. Voxifyer reserves the right to suspend or terminate accounts that contain inaccurate, outdated or misleading information.

Accounts may not be shared, transferred or used by any third party, unless expressly permitted in writing by Voxifyer. You must take reasonable measures to protect your account credentials and prevent unauthorized access. If you suspect or become aware of any unauthorized access to your account, you must promptly take appropriate action, including changing your credentials and notifying Voxifyer without undue delay. You are solely responsible for all activities conducted through your account, whether or not such activities were authorized by you. Voxifyer shall not be liable for any loss or damage arising from unauthorized use of your account where such use is not attributable to Voxifyer.

4. Use of the Service

You may access and use the Service solely for lawful purposes and in accordance with these Terms. Your use of the Service must be consistent with its intended purpose as described in Section 2.

Unless expressly agreed in writing with Voxifyer, you may not:

(i) Copy, download, record, reproduce, modify, distribute, transmit, display, broadcast, publicly perform or otherwise commercially exploit any Materials made available through the Service;

(ii) Access, extract or process the Service or the Materials, including any software, source code or algorithms of the Service, for data collection, text and data mining, automated analysis, dataset creation or other data processing, including for the development, training, fine-tuning or operation of machine learning models, speech synthesis, voice cloning or similar artificial intelligence systems, whether for commercial or non-commercial purposes;

(iii) Use automated tools (such as scripts, bots, crawlers or scrapers) to access, extract, index or otherwise harvest content from the Service, except as expressly permitted by Voxifyer;

(iv) Reverse engineer, decompile or otherwise attempt to derive the source code or underlying components of the Service, including any algorithms, machine learning models or similar artificial intelligence systems included in the Service or used in connection therewith;

(v) Circumvent or interfere with technical measures, access controls, security features, infrastructure or the operation or integrity of the Service;

(vi) Misrepresent your identity or affiliation, or impersonate Voxifyer, a Talent, a Client or any third party;

(vii) Upload any recordings, texts, photos, images or other materials that infringe upon the ownership or intellectual property rights of any third party, constitute slander or defamation or otherwise violates applicable laws or regulations; or

(viii) Otherwise use the Service in a manner that violates these Terms or any applicable policies, laws or regulations.

You acknowledge that certain information relating to the Service, including Voxifyer's technology, software, source code, algorithms, know-how, machine learning models and other artificial intelligence systems, may constitute trade secrets and other protected business information under applicable law. You shall not unlawfully acquire, access, use, disclose or otherwise exploit any such trade secrets or protected business information. Nothing in these Terms shall limit any rights or remedies available to Voxifyer under applicable law.

Voxifyer does not undertake to review, monitor or otherwise evaluate materials uploaded by users to the Service. To the fullest extent permitted by applicable law, Voxifyer disclaims any responsibility or liability for such uploaded materials and expressly disclaims any duty or obligation to monitor, review, screen or remove any user-uploaded materials.

Although Voxifyer has no obligation to monitor, review, screen or remove user-uploaded materials, Voxifyer may:

(i) delete or remove user-uploaded materials or refuse to post any such materials at any time and for any reason with or without notice, including for any violations of these Terms or any applicable policies, laws or regulations; and

(ii) otherwise take any action with respect to user-uploaded materials that is necessary or appropriate, in Voxifyer's sole discretion, to ensure compliance with these Terms or any applicable policies, laws or regulations, or to protect Voxifyer's rights or any third party rights, including intellectual property and data privacy rights.

5. Intellectual property rights

All intellectual property rights, including without limitation copyrights, trademark rights, trade secrets, patents and other proprietary rights, in and to the Service and the Materials, including in any technology, software, designs, source code, algorithms, machine learning models, artificial intelligence systems and related tools included in the Service or used in connection therewith (collectively, "Technical Assets"), are owned by or licensed to Voxifyer by the relevant rights holders. Nothing in these Terms transfers or assigns any intellectual property rights to you. All rights not expressly granted to you under these Terms are reserved by Voxifyer and its licensors.

Subject to your compliance with these Terms, Voxifyer grants you a limited, non-exclusive license to access and use the Service, including listening to voice samples and accessing other publicly available Materials, solely for non-commercial evaluation purposes and otherwise use the Service in accordance with these Terms.

Any intellectual property rights in Digital Voices, generated output, recordings or other Materials delivered as part of a project are governed exclusively by the applicable written agreement relating to that project.

6. AI Usage Policy

Use of the Service or the Materials, including any software, source code or algorithms of the Service, for data collection, text and data mining, automated analysis, dataset creation or other data processing is strictly prohibited, as further set out in Section 4.

Voxifyer maintains a separate AI Usage Policy, published as www.voxifyer.com/ai.txt, which sets out additional restrictions and guidelines relating to artificial intelligence access and use. The AI Usage Policy forms part of these Terms by reference.

Voxifyer reserves the right to implement technical measures, monitoring or access controls to prevent unauthorized automated use of the Service, subject to applicable law.

7. API access, demo tools etc.

Where Voxifyer provides access to demo tools, preview features, access tokens, API keys or similar credentials, such access is granted solely for testing, evaluation or demonstration purposes, unless otherwise expressly agreed in writing by Voxifyer.

You must not:

(i) Share, transfer, sublicense or make available such access credentials to any third party;

(ii) Use demo tools, preview features, APIs or access credentials in a production environment; or

(iii) Exceed usage limits, bypass technical restrictions or attempt to access functionality not explicitly made available to you.

Any commercial use of APIs, production access or extended functionality is subject to a separate written agreement with Voxifyer.

8. Modifications of the Service

Voxifyer reserves the right, at any time and without prior notice, to suspend, expand, limit, restrict, modify or temporarily or permanently discontinue the Service, in whole or in part, including for purposes such as maintenance, updates, security measures, technical improvements or operational reasons.

Voxifyer may also modify, update or remove features, functionality or content of the Service at its discretion. Where reasonably practicable, Voxifyer may provide advance notice of material changes, but is not obligated to do so unless required by applicable law.

Voxifyer shall not be liable for any loss, damage or inconvenience arising from the unavailability of the Service, interruptions, delays or changes to the Service.

9. Third Party Content

The Service may rely on or interoperate with third party products and services, including machine learning models, artificial intelligence systems, identity verification services, payment services, data storage services, communications technologies and internet operators. The Service may also contain links to third party websites, services or platforms that are not owned, operated or controlled by Voxifyer. Such third party websites, products, services and platforms are hereinafter collectively referred to as "Third Party Content".

Third Party Content is provided for convenience only. Voxifyer does not endorse, control or assume any responsibility for the content, accuracy, availability, security or practices of any Third Party Content. Voxifyer has no obligation to monitor, review or screen Third Party Content, and Voxifyer may block or disable access to any Third Party Content through the Service at any time. Your access, use or interaction with any Third Party Content is solely between you and the third party, and may be subject to additional terms, conditions and policies applicable to such Third Party Content (including terms of service and privacy policies of such third parties). Voxifyer shall not be liable for any loss or damage arising from your interaction with or reliance on such Third Party Content.

10. Trade sanctions, anti-money laundering etc.

You represent and warrant that neither you nor, where applicable, any entity you represent:

(i) Is identified on, or owned or controlled by a person or entity identified on, any sanctions, embargo or restricted party list maintained or enforced by the European Union, the United Nations, the United States, the United Kingdom or any other relevant governmental authority;

(ii) Is incorporated or organized under the laws of, located in or ordinarily resident in any country or territory subject to comprehensive trade sanctions or embargoes; and

(iii) Will access or use the Service in violation of any applicable trade sanctions, export control laws or other international trade restrictions.

You further agree to comply with all applicable laws and regulations relating to anti-money laundering, counter-terrorism financing and similar regulatory requirements.

For compliance purposes, Voxifyer may be required to conduct due diligence in relation to certain users of the Service, including determining whether a user is a politically exposed person ("PEP") or closely associated with a PEP. You agree to provide accurate and complete information upon request for such compliance purposes.

11. Suspension and termination

Voxifyer reserves the right, at its sole discretion, to restrict, suspend or terminate your account or access to the Service, in whole or in part, with or without notice, where Voxifyer has reasonable grounds to believe that such action is necessary. Voxifyer also reserves the right to monitor, review and screen account activity to the extent permitted by applicable law.

Without limiting the foregoing or any other provision of these Terms, Voxifyer may restrict, suspend or terminate your account or access to the Service, including to suspend, revoke or disable any access credentials, if:

(i) You have violated, or Voxifyer reasonably believes that you have violated, these Terms, any agreement with Voxifyer or any applicable policies, laws or regulations, including, without limitation, laws relating to anti-money laundering, counter-terrorism financing, trade sanctions and export controls;

(ii) You have engaged in any unauthorized, unlawful or improper use of the Service, the Materials or the Technical Assets, including for purposes of data collection, text and data mining, automated analysis, dataset creation or any other activity prohibited under these Terms;

(iii) Such action is necessary for Voxifyer to comply with applicable laws, regulations, court orders or requests from public authorities;

(iv) Your conduct has caused, or Voxifyer reasonably believes it may cause, legal liability, material harm or reputational damage to Voxifyer, Talents, Clients or any third party;

(v) Your continued access would otherwise expose Voxifyer to legal, regulatory, security or operational risks;

(vi) Voxifyer reasonably suspects unauthorized access to or use of your account; or

(vii) Voxifyer discontinues the Service or any essential part of it.

If Voxifyer terminates or suspends your account, Voxifyer will use reasonable efforts to notify you in advance so that you may export materials uploaded and owned by you, as well as other data relating to your projects. However, such prior notice will not be provided where immediate termination or suspension is necessary to protect the Service or the legitimate interests of Voxifyer, Talents, Clients or other third parties. If you believe that Voxifyer has terminated or suspended your account in error, you may submit an appeal by contacting our support team, at support@voxifyer.com.

Termination or suspension of access shall not affect any accrued obligations, including payment obligations or other provisions which by their nature are intended to survive termination or suspension.

12. Disclaimer of warranties

The Service, including the Materials and the Technical Assets, is provided on an "as is" and "as available" basis. You acknowledge and agree that the Service may be interrupted, delayed, modified or unavailable from time to time due to technical issues, maintenance, updates, changes or other similar factors. Voxifyer may also suspend or discontinue the Service, or any part of it, at any time and at its sole discretion.

To the fullest extent permitted by applicable law, Voxifyer disclaims all warranties and representations, whether express, implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability or performance of the Service, including the Materials and the Technical Assets.

Without limiting the foregoing, Voxifyer does not warrant that:

(i) The Service will be uninterrupted, error-free or secure;

(ii) The Service will meet your specific requirements or expectations;

(iii) The Service, including the Materials and the Technical Assets, will be free of viruses, malware or other harmful components; or

(iv) The Service, including the Materials and the Technical Assets, will be accurate, complete or reliable.

Any reliance on the Service, including the Materials and the Technical Assets, is at your own risk.

Nothing in these Terms excludes or limits any warranty to the extent that such exclusion or limitation is not permitted under applicable law.

13. Limitation of liability

To the extent permitted by applicable law, and except as otherwise expressly provided in these Terms, your sole and exclusive remedy for any problems or dissatisfaction with the Service, including the Materials and the Technical Assets, is to discontinue your use of the Service and uninstall any associated software or applications.

To the fullest extent permitted by applicable law, Voxifyer shall not be liable for any special, indirect, incidental, consequential or exemplary damages. This includes, without limitation, damages for loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption or reputational harm, arising out of or in connection with your access to or use of the Service, including the Materials and the Technical Assets. This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence) or otherwise, and even if Voxifyer has been advised of the possibility of such damages.

The total liability of Voxifyer for any claim arising out of or relating to these Terms or the Service, including the Materials and the Technical Assets, regardless of the form of the action, shall be limited to the greater of:

(i) One thousand Swedish Kronor (1 000 SEK); or

(ii) The total amount paid by you, if any, to Voxifyer for access to the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit liability for fraud, fraudulent misrepresentation, death or personal injury to the extent that applicable law would prohibit such a limitation. Where mandatory laws provide you with rights that cannot be limited or excluded, the limitations and exclusions in this Section 13 apply only to the fullest extent permitted by applicable law.

14. Indemnification

To the fullest extent permitted by applicable law, and upon Voxifyer's request, you agree to indemnify, defend and hold harmless Voxifyer and its affiliates, shareholders, directors, officers, employees, contractors and licensors from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with:

(i) Your breach or alleged breach of these Terms, any agreement with Voxifyer, any applicable laws, regulations or governmental requirements, including those relating to anti-money laundering, counter-terrorism financing, trade sanctions, export controls, privacy and data protection;

(ii) Your unauthorized, unlawful, fraudulent or improper use of the Service, the Materials or the Technical Assets, including any activity prohibited under these Terms;

(iii) Any content, data, materials or information uploaded, submitted, generated, transmitted or otherwise made available by you through the Service, that infringes or allegedly infringes any third party rights, including copyrights or other intellectual property rights, breaches any applicable laws or regulations, or violates these Terms; or

(iv) Any act or omission by you that results in, legal liability, regulatory action, material harm or reputational damage to Voxifyer, Talents, Clients or any third party.

Voxifyer reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such a case, you agree to fully cooperate with Voxifyer in the defence and settlement of the claim. No settlement that imposes any liability or obligation on Voxifyer may be entered into without Voxifyer's prior written consent.

15. Changes to the Terms

Voxifyer may, at its discretion, update or modify these Terms from time to time to reflect changes to the Service, its business practices, applicable legal or regulatory requirements, security reasons or for any other reason Voxifyer deems appropriate.

The current version of the Terms will always be made available through the Service and will be identified by the "Last updated" date and version number displayed at the top of the document.

It is your responsibility to review the Terms periodically and stay informed of any updates. Your continued access to or use of the Service after updated Terms have taken effect constitutes your acceptance of the revised Terms.

Where required by applicable law, Voxifyer will take reasonable steps to notify you of such changes in advance. Any changes to these Terms will only apply prospectively. If you don't agree to the new updated Terms, you must stop using the Service.

17. Miscellaneous

If any provision contained in these Terms is found to be illegal, invalid or otherwise unenforceable in whole or in part, such provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. If you are a consumer, these Terms are not intended to, and shall not, exclude or limit any mandatory rights you may have under the consumer laws of your jurisdiction.

18. Governing law and dispute resolution

These Terms will be governed by and construed in accordance with the substantive laws of Sweden, without any reference to its conflict of laws principles.

Any dispute, controversy or claim arising out of or in connection with these Terms, or the breach, termination or invalidity thereof, shall be finally settled by arbitration administered by the SCC Arbitration Institute ("SCC").

The Rules for Expedited Arbitrations shall apply, unless the SCC in its discretion determines, taking into account the complexity of the case, the amount in dispute and other circumstances, that the Arbitration Rules shall apply. In the latter case, the SCC shall also decide whether the Arbitral Tribunal shall be composed of one (1) or three (3) arbitrators.

The seat of arbitration shall be Stockholm, Sweden. The language to be used in the arbitral proceedings shall be English.
